KeyLocker Founders Program – Terms & Conditions

By applying for or using any KeyLocker Founders Program benefits (“Program”), you agree to these Terms & Conditions and the policies referenced herein.

1. Acceptance

By applying for or using any KeyLocker Founders Program benefits (“Program”), you agree to these Terms & Conditions and the policies referenced herein.

2. Program Scope

• Pilot/Beta offering granting selected locksmiths promotional credits for purchases at designated KeyLocker vending machines and on KeyLockerShop.com.
• Program length, credit amounts, and machine locations are set solely by Key Locker LLC (“we,” “us,” “our”) and may change or end without notice.

3. Eligibility & Participation

• One application per individual or legal entity.
• Accounts, credits, or machine access may not be sold, shared, or transferred. Any attempt results in immediate removal and forfeiture of unused credits.
• We may require proof of locksmith licensing, business registration, or other credentials at any time.

4. Credits & Usage

• Credits have no cash value, are non-refundable, and expire when the Program ends or on the date we specify—whichever comes first.
• Credits apply only to qualifying products in stock at active KeyLocker locations; they cannot cover shipping, taxes, or non-qualifying items.
• Unused credits are forfeited if the Program is modified, suspended, or terminated early.

5. Service Availability

• Key availability across makes, models, and years is not guaranteed.
• Access to machines, website, and specific key blanks depends on inventory levels, technical uptime, and local regulations.
• Downtime, stock-outs, or relocation of a machine do not pause or extend the Program or your credit validity.

6. Orders, Stock & Fulfillment

• All orders are subject to stock on hand. We may cancel or delay any order without liability or Program extension.
• Out-of-stock items will not be back-ordered under Program credits.

7. Compliance & Verification

• You must comply with all federal, state, and local laws (including locksmith-licensing regulations).
• We reserve the right to audit usage and require documentation at any time. Failure to comply results in suspension or termination of participation.

8. Communications & Consent

• By joining the Program, you expressly authorize us to contact you via the e-mail address and phone number you provide for Program updates, account verification, promotional offers, and operational notices.
• You may opt out of promotional e-mails at any time, but transactional or legally required notices will still be sent.

9. Refunds, Returns & Privacy

• Refunds and exchanges follow our standard policy (https://keylockershop.com/refund_returns/).
• Personal data is processed in accordance with our Privacy Policy (https://keylockershop.com/privacy-policy/).

10. Misuse, Fraud & Suspension

We may suspend or terminate accounts, cancel credits, or revoke machine access for:

• Fraud, attempted fraud, or abuse of the Program;
• Violation of these Terms or applicable law;
• Conduct we deem harmful to Key Locker LLC or other participants.

11. Program Changes / Termination

We may amend, suspend, or terminate the Program—or these Terms—at any time, for any reason, with or without notice. Continued participation after a change constitutes acceptance of the revised Terms.

12. No Warranties & Limitation of Liability

• Services and products are provided “as is” without warranties of any kind, express or implied.
• To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Program will not exceed USD 100.

13. Governing Law & Dispute Resolution

• These Terms are governed by Arizona law (excluding conflict-of-law rules).
• Any dispute shall be resolved exclusively in the state or federal courts of Maricopa County, Arizona, and participants consent to such jurisdiction.

14. Entire Agreement

These Terms supplement—and do not replace—Key Locker LLC's main Terms & Conditions (https://keylockershop.com/terms-conditions/). If a conflict exists, these Program Terms control for matters specific to the Program.
